Terms of Service

Important noticeThis is a legal agreement between you and Planet B 21, LLC. By purchasing, accessing, or using our services, you agree to these Terms. Our services involve the purchase of SHA-256 compute capacity, a specialized and perishable digital service. All sales are final and non-refundable, subject to the limited service-credit policy described in Section 9. Mining rewards are routed directly to a pool account you control; we do not take custody of your cryptocurrency. The profitability of mining is inherently volatile and outside our control. These Terms contain a mandatory arbitration clause and class-action waiver (Section 18).

§ 01Introduction and the Parties

These Terms of Service (the "Terms") govern your access to and use of any website, application, service, or product operated by Planet B 21, LLC, a Wyoming limited liability company (referred to in these Terms as "Planet B 21," "we," "our," or "us"). This includes the website located at planetb21.com, the website located at cashtoha.sh (which is a product brand of Planet B 21, LLC and not a separate company), and any application, dashboard, or API made available by us (collectively, the "Services").

By creating an account, purchasing capacity, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services. In these Terms, "you" and "your" refer to the individual or entity that accepts these Terms and uses the Services.

§ 02Definitions

"Capacity" or "Hashrate" means a contracted amount of SHA-256 computational work, expressed in terahashes per second (TH/s), petahashes per second (PH/s), or exahashes per second (EH/s), delivered for a specified duration.

"Contract Period" means the duration for which Capacity is delivered following confirmation of your purchase, as specified at checkout.

"Customer Pool Account" means the Bitcoin mining pool account identifier you provide at checkout, which is controlled exclusively by you and to which all mining rewards generated by your purchased Capacity are routed directly by the Upstream Provider.

"Mining Rewards" means the Bitcoin or other cryptocurrency rewards that may be generated by applying the Capacity to the Bitcoin network's consensus mechanism.

"Upstream Provider" means the third-party institutional provider from which Planet B 21 sources the Capacity delivered to you (for example, NiceHash, Braiins Pool, or a direct operator partner).

"Perishable Digital Service" has the meaning given in Section 5.

§ 03Eligibility

You may only use the Services if all of the following are true:

Onboarding follows a two-tier verification model. For low-value orders within published thresholds, we operate a Simplified Diligence tier that requires only the minimum information needed to provide the service and to screen the transaction against applicable sanctions lists (name, email, self-declared country of residence, and your mining pool configuration). Sanctions screening is applied to every transaction regardless of tier. Above the Simplified Diligence thresholds, or whenever a risk-monitoring rule is triggered, Full Verification is required and includes government-issued identification, a live image for biometric match, and proof of address. Verification is performed through a third-party identity verification provider. Capacity will not be delivered until the applicable tier's verification has been completed. Our payment processors and fraud-prevention vendors additionally capture standard transaction data (including card BIN country, billing ZIP via AVS, IP address, and device fingerprint) under their own controls; we do not separately store that data beyond what is needed for dispute and fraud response. We may refuse service to any person for any lawful reason.

§ 04Nature of the Service; What You Are Buying

When you purchase through the Services, you are purchasing a specified amount of SHA-256 compute Capacity delivered over a specified Contract Period. You are not purchasing:

Capacity is a service. Mining Rewards are an uncertain and variable output of that service; they are not guaranteed, and their amount, timing, and value depend on factors outside our control (see Section 10).

§ 05Capacity is a Perishable Digital Service

You acknowledge and agree that Capacity is a perishable digital service ("Perishable Digital Service"), meaning:

You expressly consent to the immediate commencement of delivery of the Services upon purchase confirmation. You acknowledge that, as a consequence of that consent and the perishable nature of the Services, you waive any statutory right of withdrawal, cooling-off period, or similar right of cancellation to the maximum extent permitted by applicable law.

§ 06Non-Custodial Service Architecture

You acknowledge and agree that Planet B 21 operates a non-custodial service model:

It is your sole responsibility to maintain access to, and security over, your Customer Pool Account. We are not responsible for losses arising from compromise, misconfiguration, or loss of control of your Customer Pool Account.

§ 07Pricing, Payment, and Taxes

7.1 Pricing

Prices are displayed at checkout and include any applicable premium. A launch premium is applied to retail Capacity purchases during the initial rollout; the applicable premium is disclosed at checkout prior to purchase confirmation. Prices are quoted in U.S. dollars unless otherwise indicated.

7.2 Accepted payment methods

We accept payment through the following channels:

Payment method availability, per-method limits, and first-purchase ceilings may vary and are enforced at checkout.

7.3 Taxes

You are responsible for all taxes applicable to your purchase, except for taxes imposed on Planet B 21's net income. You are responsible for reporting and paying any income tax owed on Mining Rewards under the laws of your jurisdiction.

§ 08No Refunds; All Sales Final

Because the Services are a Perishable Digital Service (see Section 5), ALL SALES ARE FINAL AND NON-REFUNDABLE. Once your purchase is confirmed, you are not entitled to a refund, cancellation, or reversal, whether in fiat, cryptocurrency, or any other form.

This Section 8 does not limit any non-waivable statutory consumer rights you may have under applicable law.

§ 09Limited Service-Credit Policy

In the event of a verified delivery failure — meaning Capacity we contracted to deliver was, through our fault or the fault of the Upstream Provider, not delivered for a continuous period of more than twenty-four (24) hours within the Contract Period — we may, at our sole discretion, issue a service credit to your Planet B 21 account. Service credits:

§ 12Chargebacks and Payment Disputes

Because the Services are a Perishable Digital Service with no refunds (Sections 5 and 8), chargebacks and payment reversals are a serious matter. If you have a concern about a charge, you agree to contact us at support@planetb21.com before initiating a chargeback or payment dispute with your bank or card issuer. We will work with you in good faith to resolve legitimate concerns, including through the service-credit mechanism in Section 9 where applicable.

You agree that the initiation of a chargeback or payment reversal that we, in our reasonable judgment and with supporting evidence, consider to be unjustified — including chargebacks seeking a refund for duly delivered Capacity or Mining Rewards that underperformed expectations — is a material breach of these Terms. In such a case we may:

§ 13Suspension and Termination

We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have breached these Terms, engaged in fraud, violated applicable law, or created risk or legal exposure for us or our counterparties. Termination does not entitle you to any refund, and any unused prepaid Capacity balance is forfeited, except to the extent refund or restitution is required by non-waivable law.

You may close your account at any time by contacting support. Closure does not entitle you to a refund of prior purchases. Customer records are retained in accordance with Section 14.

§ 14Privacy and Data

Our collection, use, and disclosure of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Customer records, including KYC records and transaction records, are retained for at least five (5) years after account closure to meet our internal compliance obligations and reasonable requests from payment processors and regulators.

§ 15Intellectual Property

All content, trademarks, logos, software, and materials available through the Services are owned by Planet B 21 or our licensors and are protected by intellectual property law. You may not copy, modify, distribute, or create derivative works of our materials except as expressly permitted by us in writing or by applicable law.

§ 18Governing Law; Arbitration; Class-Action Waiver

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the seat of arbitration in Wyoming. Judgment on the award may be entered in any court of competent jurisdiction.

YOU AND PLANET B 21 AGREE THAT ANY ARBITRATION OR PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to a jury trial and to participate in a class action.

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or to enforce Section 12.

§ 19Indemnification

You agree to indemnify and hold harmless Planet B 21 and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your breach of these Terms, (c) your violation of any law or the rights of a third party, or (d) any chargeback or payment dispute you initiate in breach of Section 12.

§ 20Modifications to the Terms

We may modify these Terms at any time by posting an updated version at planetb21.com/terms and at cashtoha.sh/terms. Material changes will be communicated by email or in-product notice. Continued use of the Services after the effective date of the updated Terms constitutes acceptance.

§ 21Miscellaneous

These Terms, together with any policies referenced herein, constitute the entire agreement between you and Planet B 21 regarding the Services and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms freely. These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Planet B 21.
